shadow director
A person in accordance with whose instructions the directors of a company are accustomed to act although that person has not been appointed as a director. A shadow director influences the running of the company and some provisions of the Companies Acts, including wrongful trading and the regulation of loans to directors, relating to directors also extend to shadow directors.
